Yes. Rezolut is being acquired, and Rezolut and Envision Radiology are coming together as one organization. Rezolut has been owned by Sunny River Management (SRM) since its founding, and SRM’s ownership cycle has reached its natural transition point. This marks the next chapter for both teams and builds on the strong foundations employees have created across both organizations.

Over the past two years, SRM and Rezolut leadership planned for this transition and evaluated multiple potential partners to find the best long-term fit for the organization, team members, and communities served. After careful consideration, they determined that joining Envision Radiology—an employee-owned imaging leader with shared values and a commitment to quality—was the best path forward for employees and patients.

Envision Radiology is the ninth-largest outpatient imaging company in the nation, with more than 25 years of proven success and a strong financial track record. They partner with some of the largest hospitals in the country and are known for culture, employee engagement, and an exceptional patient experience. Envision is also 100% employee-owned through an Employee Stock Ownership Plan (ESOP), which creates an opportunity for Rezolut team members to become employee-owners and share in the combined company’s future success.

This acquisition supports Envision’s strategic growth goals by expanding geographic presence, enhancing service offerings, and strengthening market leadership in world-class imaging. Together, the combined organization will deliver greater value to patients, partners, and employees.

The transaction closed on December 31, 2025.

Envision Radiology is the ninth-largest outpatient imaging company in the nation and the largest independently owned imaging company in the U.S. Envision Radiology is not affiliated with Envision Healthcare—these are separate organizations with no connection. Founded in 2000, Envision has been 100% employee-owned since 2017, with more than 2,000 employee-owners nationwide and a focus on culture, clinical excellence, and spectacular service.

Rezolut is a national diagnostic imaging company offering fixed-site outpatient imaging, mobile imaging, in-house imaging solutions, and equipment sales and repair. Founded in 2018 and based in Atlanta, Rezolut employs more than 1,100 team members nationwide and shares a commitment to quality, service excellence, and patient-centered care.

This is technically an acquisition, but we view it as a partnership in purpose—combining strengths and cultures to deliver exceptional patient care and employee opportunity.

Both organizations share a long-term goal to become one of the nation’s top five outpatient imaging providers. Rezolut brings innovation and growth; Envision brings employee ownership and operational excellence. Together, we’ll amplify both.

Envision Radiology will be the name of the combined organization. Local brands will continue as they have historically—for example, Shin Imaging will remain Shin Imaging. The intent is to preserve history and legacy while advancing the combined organization.

Company, Structure & Leadership

McKinsey & Company has been retained to assist with integration. Integration will be thoughtful, collaborative, and phased beginning in early 2026. You may see integration activities as early as January 6, 2026, with many initiatives rolling out throughout 2026. We’ll prioritize efforts that enhance patient care, operational efficiency, and employee experience, with a measured approach focused on quality, stability, and communication.

Updates will be posted on the Integration Station (our internal site for integration information), shared through email, and covered in leadership meetings.

The combined company will be led by Envision CEO Aaron Ramsay. Dr. Jin Kim will remain CEO of Rezolut and will play a long-term strategic role in shaping the future of the combined company. Current reporting structures will remain intact through early 2026 while teams collaborate on the best future structure, ensuring stability and continuity.

Aaron began his career as a CPA, later transitioning to healthcare leadership. He previously served as Envision’s CFO and became CEO in 2019. He is guided by faith, family, and a commitment to service.

Dr. Kim is the co-founder and CEO of Rezolut. He is a board-certified physician and entrepreneur who has led Rezolut’s national growth with a focus on innovation and quality, and he will continue helping guide the combined company’s future.

Aaron Ramsay will serve as CEO. Reporting to him will be:

Envision’s corporate offices are located in Colorado Springs, CO, with outpatient imaging centers and partnership locations in Colorado, Texas, Oklahoma, Louisiana, and Utah.

Rezolut’s corporate offices are located in Atlanta, GA, with imaging centers and partnership locations across multiple states including California, New York, New Jersey, Pennsylvania, Arizona, and New Mexico.

We will evaluate the need for multiple corporate offices and make the best decision for the organization and team members.

No. Remote employees can continue working remotely unless future business needs require otherwise.

Collaboration sessions and introductions will begin early in 2026 to foster connection and alignment.

Yes. Growth creates opportunities for career development, internal mobility, and leadership advancement. We’ll share open positions and integration-related projects as they become available.

Remote work eligibility depends on role requirements, business needs, and applicable state employment regulations. Generally, employees may work remotely from states where Rezolut or Envision is registered to operate and has an established business presence. If you’re considering relocating or working from another state, discuss it with your leader and HR to confirm approval and ensure compliance with payroll, tax, and licensure requirements.

Compensation, Benefits & HR

No changes to pay or tax status are expected.

Not at this time. Your current benefit options and open enrollment process will remain the same. Benefits may evolve in the future as the combined organization aligns, but no changes to health or 401(k) plans are anticipated until 2027 at the earliest. Any updates will be communicated well in advance.

You will use the same open enrollment process as in prior years. Any changes will be communicated by HR.

You’ll continue to be paid by your current employer (Rezolut or Envision). Scheduled merit increases will proceed as planned, including Rezolut’s increases effective in late 2025 and Envision’s annual pay adjustments in early January 2026.

No. Incentive payouts for the 2025 performance year will proceed as scheduled in Q1 2026 for eligible employees.

Envision offers a comprehensive benefits package that includes medical, dental, vision, and voluntary benefits. Rezolut employees will remain on current Rezolut benefit plans for now. Any future transition will be communicated well in advance with time to review options.

Your seniority for benefits eligibility will remain the same.

Your PTO accrual will remain the same, and unused PTO will carry forward after closing according to your current policy. PTO plans are being reviewed for consistency and fairness, and any changes will be communicated well in advance.

Over the coming months, HR teams will align processes such as payroll, performance reviews, and learning systems. More details will be shared once timelines and deliverables are confirmed.

Employee Ownership (ESOP)

An Employee Stock Ownership Plan (ESOP) is a retirement plan that gives employees an ownership stake in the company. Employees earn shares of company stock over time at no cost to them. As the company grows and performs well, the value of an ESOP account can increase, helping build long-term financial security and reinforcing a culture where everyone is invested in delivering exceptional care and improving lives.

Being an employee-owner means you have a financial stake in the company’s success through the ESOP. Your ESOP account can grow as the company grows in value, aligning everyone around building a stronger company together.

The ESOP complements your 401(k). A 401(k) is voluntary and employee-funded, while the ESOP is company-funded—Envision contributes shares to eligible employees, creating ownership at no cost to you.

Together, these two plans provide a powerful combination for long-term financial security:

  • Your 401(k) helps you save and invest your own money for retirement.
  • The ESOP helps you build wealth through ownership as the company grows and succeeds.

If you were employed by Rezolut as of January 1, 2025 and worked at least 1,000 hours during 2025, you are expected to become an employee-owner through Envision’s ESOP in 2026, after required administrative and legal steps are completed. Because of existing joint venture structures and legal requirements, timing may vary for some employees.

Acquisitions are made to strengthen the company over the long term. If an acquired company performs well and integrates successfully, it can increase overall earnings, scale, and stability—factors that support ESOP value. ESOP value is based on total company performance and is reflected through the annual independent valuation process.

Growth through acquisition is intended to create value, not dilute it. While acquisitions may increase the number of employees participating in the ESOP, value is created through expanded revenue and greater profitability. If acquisitions improve performance and sustainability, they can increase ESOP value over time.

Employee ownership encourages pride in quality, long-term thinking, responsible use of resources, and cross-team collaboration. Day-to-day roles don’t change, but the connection between individual contributions and company success becomes clearer—when the company performs well, employee-owners share in that success.

Technology & Systems

Not immediately. Any changes to email or systems will be communicated with clear instructions and support. You can expect Rezolut email addresses to transition to Envision email addresses at some point.

Yes, over time. IT teams are working together to ensure secure and efficient collaboration. Access to shared systems and tools will be introduced in phases, and common platforms for communication and meetings will be announced in advance with instructions and training.

For now, nothing changes. Future IT integration will be evaluated post-close with a focus on minimizing disruption and improving user experience.

Patient Care & Providers

Patient care remains at the heart of everything we do. This partnership enhances our ability to provide advanced imaging, leverage technology, and deliver spectacular service.

No. Any operational changes will be focused on enhancing the patient experience, not disrupting it.

Post-close, providers can expect stronger technology integration, faster turnaround times, and expanded services across more geographies. Our goal is to make referring and reporting as seamless as possible.

We believe combining resources supports positive investments for patients, including targeted patient experience enhancements, earlier detection of disease, broader access to women’s health services, and greater convenience through outpatient and mobile imaging—helping improve outcomes and satisfaction.

Radiologists are essential to who we are and will continue to play a vital role post-close. We have a communication strategy to keep radiologists informed, supported, and valued throughout the transition. Radiologists remain central to our mission, and we look forward to growing together and strengthening partnerships for years to come.
