I’ve been hearing that Rezolut is being acquired. What is happening?
Yes, Rezolut is being acquired. Rezolut and Envision Radiology are coming together as one organization. Rezolut has been owned by Sunny River Management (SRM), a private equity firm, since its founding, and like many private equity–backed organizations, SRM’s ownership cycle has reached its natural transition point. This change marks the next chapter for both teams — an opportunity to continue building on the strong foundations our employees have created within both organizations.
What process has taken place in looking for a buyer?
Over the past two years, SRM and Rezolut leadership have thoughtfully planned for this transition, evaluating multiple potential partners to ensure the best long-term fit for the organization, our team members, and the communities we serve. After careful consideration, they determined that joining Envision Radiology, an employee-owned imaging leader with shared values, vision, and commitment to quality, represents the best path forward for all employees and patients.
Why did SRM and Rezolut choose Envision?
Envision Radiology is the ninth-largest outpatient imaging company in the nation, with more than 25 years of proven success and a strong financial track record. They partner with some of the largest hospitals in the country and are known for their focus on culture and employee engagement and delivering an exceptional patient experience.
One of Envision’s most unique aspects is it is 100% employee owned through an Employee Stock Ownership Plan (ESOP) — meaning Rezolut team members will also have the opportunity to become employee-owners and share directly in future success of the newly combined company.

Who is Envision?
Envision Radiology is the ninth-largest outpatient imaging company in the nation and the largest independently owned imaging company in the U.S. It’s important to note that Envision Radiology is not affiliated with Envision Healthcare—they are completely separate organizations with no connection.
Envision Radiology was founded in 2000 and has been 100% employee-owned since 2017. With over 2,000 employee-owners across the U.S., Envision is known for its strong culture, clinical excellence, and commitment to spectacular service.
Who is Rezolut?
Rezolut is a national diagnostic imaging company offering fixed-site outpatient imaging services, mobile imaging, in-house imaging solutions, and equipment sales and repair. Founded in 2018 and based in Atlanta, GA, Rezolut employs over 1,100 team members nationwide and shares Envision’s commitment to quality, service excellence, and patient-centered care.
Is this an acquisition or a merger?
This is technically an acquisition, but we view it as a partnership in purpose. Envision and Rezolut are combining strengths and cultures to deliver exceptional patient care and employee opportunity.
How does Rezolut fit into Envision’s strategy?
Both organizations share a long-term goal to become one of the nation’s top five outpatient imaging providers. Rezolut brings innovation and growth; Envision brings employee ownership and operational excellence. Together, we’ll amplify both.
Will there be branding or name changes?
Envision Radiology will be the name of the combined organization. Local brands will continue as they have historically. For example, Shin Imaging will remain Shin Imaging. The intent is to preserve history and legacy while advancing the combined organization.
Company, Structure & Leadership
When and how will integration begin?
McKinsey & Company has been retained to assist with the integration. Integration will be thoughtful, collaborative, and phased, beginning in early 2026. We will communicate plans in advance so everyone understands what’s happening and when.
You will begin to see integration activities as early as January 6, 2026; however, many initiatives will occur in phases throughout 2026. We’ll prioritize efforts that enhance patient care, operational efficiency, and employee experience.
Our approach will be measured—ensuring that quality, stability, and communication guide every step of the process.
How will updates be shared with employees?
Updates will be posted on the “Integration Station” (our internal site for all integration-related information), through email, and shared in leadership meetings.

What will the leadership structure look like?
The newly combined company will be led by Envision CEO Aaron Ramsay. Dr. Jin Kim will remain as CEO of Rezolut and will play a critical, long-term strategic role in shaping the future of the combined company.
Current reporting structures will remain intact through early 2026 while both teams collaborate on the best structure for the future. This approach ensures stability and continuity while allowing both teams to leverage existing leadership strengths as we move forward together.
Who is Aaron Ramsay?
Aaron began his career as a CPA and later transitioned to healthcare leadership. He was previously Envision’s CFO and became CEO in 2019. He is guided by faith, family, and a strong commitment to service, both within Envision and in all areas of life.
Who is Dr. Jin Kim?
Dr. Kim is the co-founder and CEO of Rezolut. He is a board-certified physician and entrepreneur who has led Rezolut’s national growth with a vision for innovation and quality. He will continue to help guide the combined company’s future.

Where is Envision located?
Envision’s corporate offices are located in Colorado Springs, CO. Envision has outpatient imaging centers and partnership locations in Colorado, Texas, Oklahoma, Louisiana, and Utah.
Where is Rezolut located?
Rezolut’s corporate offices are located in Atlanta, GA. Rezolut has imaging centers and partnership locations across multiple states, including: California, New York, New Jersey, Pennsylvania, Arizona, and New Mexico.
Will Rezolut’s corporate office move from the Atlanta office to Envision’s headquarters?
We will certainly evaluate the need for multiple corporate offices and will make the best decision for the organization and team members.
If I work remotely, will that change?
No. Remote employees can continue working remotely unless future business needs require otherwise.
When will I meet new colleagues?
Collaboration sessions and introductions will begin early in 2026 to foster connection and alignment.
How can employees support the transition?
Be open, curious, collaborative, and stay informed. We are committed to transparent communication and will provide updates as regularly as possible. The Integration Station will house resources and archive key information. Participate in integration activities, welcome new colleagues, share feedback through your leader or the integration station and continue focusing on patient care and teamwork.
Will there be new opportunities?
Yes. Growth creates opportunities for career development, internal mobility, and leadership advancement. We will share any open positions or integration-related projects as they become available.
Can I work remotely from the states that Rezolut or Envision have center operations in?
Remote work eligibility depends on role requirements, business needs, and applicable state employment regulations. Generally, employees may work remotely from states where Rezolut or Envision is already registered to operate and has an established business presence.
If you are considering relocating or working remotely from another state, please discuss this with your leader and HR to confirm approval and ensure compliance with payroll, tax, and licensure requirements.
Compensation, Benefits & HR
Will this affect my pay or taxes?
No changes to pay or tax status are expected.
Will my benefits change?
Not at this time. Your current benefit options and open enrollment process will remain the same. While benefits may evolve in the future to align across the combined organization, no changes to health or 401(k) plans are anticipated until 2027 at the earliest.
Any future updates will be communicated well in advance to ensure you have time to understand and prepare for any adjustments.
How will I enroll in benefits for 2026?
You will use the same open enrollment process as in prior years. Any changes will be communicated by HR.
Who will pay me now? Will I still receive a merit increase?
You’ll continue to be paid by your current employer (Rezolut or Envision).
Scheduled merit increases will proceed as planned. Rezolut’s merit increases effective in late 2025 will proceed as communicated, and Envision’s annual pay adjustments in early January 2026 will also take place as scheduled.
Will this affect any annual incentive payout (assuming I am currently eligible)?
No. Any employee eligible for incentive payouts for the 2025 performance year will proceed as scheduled in Q1 2026.

What are Envision’s benefits? Will any change apply to Rezolut employees?
Envision offers a comprehensive benefits package that includes medical, dental, vision, and additional voluntary benefits designed to support the overall well-being of employees and their families.
However, Rezolut employees will remain on their current Rezolut benefit plans for now. Any future transition to Envision’s benefit programs will be communicated well in advance, with plenty of time to review and understand new options.
What happens to my seniority?
Your seniority for benefits eligibility will remain the same.
What happens to my PTO accrual? What happens to any unused PTO?
Your PTO accrual will remain the same, and any unused PTO will carry forward after closing according to your current PTO policy. PTO plans are currently being reviewed to ensure consistency and fairness. Once decisions are finalized, clear communication will be provided well in advance of any changes.

How does it work with a 401(k)?
The ESOP complements your 401(k). The 401(k) is employee-funded, while the ESOP is company-funded, giving you two ways to build long-term financial security.

As an employee with Rezolut, when do I become eligible to participate in the ESOP?
If you were employed by Rezolut as of January 1, 2025 and worked a minimum of 1,000 hours during 2025, you are expected to become an employee-owner through the Envision Employee Stock Ownership Plan (ESOP) in 2026, following the completion of required administrative and legal steps to extend employee ownership to Rezolut team members. Because of existing joint venture (JV) structures and legal requirements, the timing of ESOP entry may vary for some employees.
As an employee owner with Envision, how does acquiring Rezolut impact ESOP value?
Acquisitions are made with the goal of strengthening the company over the long term. When an acquired company performs well and integrates successfully, it can increase overall company earnings, scale, and stability—key factors that support ESOP value.
That said, the ESOP value is based on the total performance of the company, not any single acquisition. The full impact is reflected through the annual independent valuation process.
Does company growth through acquisition help or dilute ESOP value?
Growth through acquisition is intended to create value, not dilute it. While acquisitions may increase the number of employees participating in the ESOP, value is created by the company’s expanded revenues and greater profitability. If acquisitions improve performance and sustainability, they can increase ESOP value over time.
How does employee ownership impact day-to-day work?
Employee ownership encourages a mindset of: taking pride in the quality of work, thinking long-term rather than short-term, acting responsibly with resources, and collaborating across teams to improve outcomes.
Day-to-day roles don’t change—but the connection between individual contributions and company success becomes clearer. When the company performs well, employee-owners share in that success.
Technology & Systems
Will my email, contact information, or system access change?
Not immediately. Any changes to email or systems will be communicated with clear instructions and support. You can expect your Rezolut email to change to Envision’s email at some point.
Will I have access to both companies’ systems?
Yes, over time. IT teams are working closely together to ensure secure and efficient collaboration between Envision and Rezolut teams. Access to shared systems and tools will be introduced in phases to support smooth integration.
Common platforms for communication, messaging, and meetings will be announced in advance of any changes, along with instructions and training to help make the transition seamless.
What IT systems will change?
For now, nothing changes. Future IT integration will be carefully evaluated post-close with a focus on minimizing disruption and enhancing user experience.
Patient Care & Providers
How will patient care be impacted?

Will patients experience any disruption in care?
No. Any changes in operations will be focused on enhancing, not disrupting, the patient experience.
What are the benefits for referring providers?
Post-close, providers can expect stronger technology integration, faster turnaround times, and expanded services across more geographies. Our goal is to make referring and reporting as seamless as possible.
Will this mean better outcomes for patients?
Yes. We believe combining resources allows for an assortment of positive investments for our patients, including targeted patient experience enhancements, earlier detection of disease, broader access to women’s health services, and greater convenience through outpatient and mobile imaging – all of which support improved outcomes and satisfaction.
